1. Who we are

DonkeyCMS is a product of DonkeyByte SRL ("we", "us"), a company registered in Romania (Registration no. J2024001458235, VAT RO49649125, Str. Ciresului, Nr. 33 Dobroesti, Ilfov). These Terms govern your purchase of DonkeyCMS licenses through donkeycms.com.

2. Who sells to you: Creem

Paid licenses are sold through Creem (Armitage Labs OÜ, Tallinn, Estonia), our reseller and merchant of record. Creem takes your payment, charges the VAT that applies to you, issues your invoice and runs your subscription. Creem's Buyer Terms also apply to your purchase; where they differ from these Terms on payment, billing or refunds, Creem's Buyer Terms prevail, except that the refund promise in section 6 always applies in addition to them. We never receive or store your card details.

3. What you're buying

DonkeyCMS is self-hosted software delivered as a download, licensed under the plan you choose (Free, Pro or Business), as described on our Pricing page. A license permits installation and use on one site and by the number of team members specified for your plan. After purchase you receive a license key by email and download the software from your donkeycms.com account.

These Terms govern your purchase. Your use of the software itself — what each plan permits, what happens if a license lapses, and what you may and may not do with the code — is governed by our End User License Agreement, which you accept when you install or use DonkeyCMS.

You can create a donkeycms.com account with your email address or with Google. By continuing on our sign-in page you agree to these Terms and to our Privacy Policy.

4. Prices and billing

Prices on our website include VAT. The price shown is what a consumer pays; Creem calculates the VAT for your country from the billing address you confirm at checkout. A business with a valid EU VAT number receives a 0% VAT invoice under the reverse charge, and the price stays the same.

Pro and Business can be bought in two ways:

• Monthly. A subscription that renews every month until you cancel; you can cancel at any time, and it will not renew after you cancel. It is a rental: the paid features work while the subscription is paid, and the site returns to the Free plan when it ends.
• One-time. A single payment for a license that keeps working permanently. It includes one year of updates, counted from the day the license was issued. After that you may buy one more year of updates at a time, at the update price shown on our Pricing page. Renewing updates is optional and never charged automatically.

Volume orders. When you buy 5 or more one-time licenses of the same plan in one order, each license costs 5% less; with 10 or more, 10% less. The discount is shown at checkout before you pay. A smaller later order keeps the 5% discount if your account has already bought 5 or more licenses of that plan. An order of 5 or more one-time Business licenses is delivered as Business white-label licenses (see section 11 of our EULA). Each license in an order is its own license, with its own key, for its own site. Volume orders cannot be refunded (see sections 5 and 6).

5. Delivery and the right of withdrawal

DonkeyCMS is digital content: your license key and download are available immediately after purchase.

If you are a consumer in the European Union, the law (EU Consumer Rights Directive 2011/83/EU) gives you 14 days from your purchase to withdraw from the contract without giving a reason. On a normal order we do not ask you to give up that right at checkout. To use it, tell us by email at hello@donkeycms.com; a short message such as "I am withdrawing from my DonkeyCMS purchase" is enough. The refund promise in section 6 gives you the same 14 days, and also applies if you buy as a business.

Volume orders. A volume order is an order of 5 or more licenses, or any order bought at the volume price (section 4). Volume licenses are sold to businesses, agencies and freelancers who build or run several websites, so they are for business or professional use. The right of withdrawal in this section protects consumers, meaning people who buy outside their trade, business or profession, and does not apply to a volume order. In a required checkbox at checkout you confirm that you are buying for business or professional purposes; without that confirmation we cannot take the order. As section 6 sets out, volume orders are not refunded. If you want to try DonkeyCMS before ordering several licenses, you can buy a single Pro or Business license, or a single month, first: those keep the 14-day refund of section 6.

Update renewals. An update renewal is delivered immediately after payment: the new versions are available at once, and once you have them they cannot be given back. We therefore ask you, in a required checkbox at checkout, to agree to immediate delivery and to confirm that you give up your right of withdrawal once delivery begins. Without that confirmation we cannot take the order. As section 6 sets out, update renewals are not refunded. Your license keeps working whether you renew or not.

6. Refunds

We want you to be happy with DonkeyCMS. If you are not satisfied with it, or it simply turns out not to be right for you, tell us within 14 days of your first payment and we will refund it in full. No questions asked, and no hard feelings.

The first payment is the first month of a monthly subscription or a one-time payment. Write to hello@donkeycms.com from the email address you bought with, or name it in your message. Creem returns the full amount to your original payment method.

When a payment is refunded, the license it paid for is revoked and every site using it continues on the Free plan. When we refund the first payment of a subscription, we also cancel that subscription, so it does not charge you again.

No refund for volume orders and update renewals. The 14-day refund above is for a single license, or the first month of a monthly subscription. It does not cover a volume order or a payment for one more year of updates. A volume order is for business use and an update renewal is delivered at once, and you confirm this at checkout (section 5). We are free to offer a refund on a normal order and not on these, and we may decide, case by case and without any duty to do so, to refund one anyway.

Monthly renewal payments are not covered by this promise: if you do not want a subscription to renew, cancel it before the renewal date (see section 4). This refund promise is available once per customer email address; a later purchase after a refund has no refund window under this section. None of this limits any right the law gives you, including the right of withdrawal in section 5 and your rights if DonkeyCMS does not work as described (EU Digital Content Directive 2019/770/EU). If something does not work, write to us and we will work to fix it.

7. Acceptable use

You may install and use DonkeyCMS on the one site your license permits. A license is tied to a domain and is not for resale. You may not resell, sublicense or redistribute DonkeyCMS itself. Business white-labeling changes only how the admin panel presents to your clients; see section 11 of our EULA.

What you add to your account profile (photo, display name, bio) must not be offensive, unlawful or pretend to be someone else. We may remove it if it is.

8. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active subscribers by email.
